Opportunity:

We are seeking an ambitious and commercially minded Corporate Solicitor to join our growing team in Leicester. We are ideally looking for someone at an Associate level (ideally 1 to 3 years’ PQE but applications outside this range will be considered)

Working with a diverse portfolio of clients, from owner-managed businesses and start-ups to established SMEs, investors, and larger corporate organisations, you will advise on a broad range of corporate matters, including mergers and acquisitions, restructures, shareholder agreements, corporate governance, and general company law issues.

The successful candidate will be working in an experienced and supportive team and will play a significant part in supporting and developing our expanding Practice while building strong relationships with clients and referrers.

The Role:

This role offers exposure to varied, complex and high-value transactions, providing an excellent platform for professional development and progression.  As a Corporate Solicitor you will be:

  • Advising clients on mergers, acquisitions and disposals of shares and business assets.
  • Managing corporate transactions from inception through to completion.
  • Undertaking legal due diligence exercises and preparing due diligence reports.
  • Drafting, reviewing and negotiating acquisition agreements and ancillary documentation.
  • Assisting with transaction structuring and strategic planning.
  • Advising directors, shareholders and business owners on corporate governance matters.
  • Providing company law advice to a diverse client base.
  • Drafting and reviewing shareholder agreements, articles of association, partnership agreements and constitutional documents.
  • Advising on directors' duties and responsibilities.
  • Supporting clients with corporate restructures, reorganisations and succession planning.

The successful candidate will be attentive and have a careful eye for detail, be a good communicator and possess a natural interest and curiosity in matters of business and commercial nature. Experience of reviewing and drafting Corporate documents would be essential.

You will be naturally self-motivated, enthusiastic and have a positive attitude towards challenges and change as well as embracing the culture of team working and supporting team members and colleagues.

The successful candidate may also be required to provide support to Corporate colleagues in our other offices from time to time due to project work or business requirements. As an experienced Corporate Solicitor, you will also be expected to supervise, train and develop more junior members of the team.
